Terms of Service

By accessing or using the ZephirexULTRA platform ("the Service"), operated by Zephirex Technologies LLC ("Zephirex", "we", "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you and Zephirex. We may update these Terms from time to time; continued use of the Service after changes are posted constitutes acceptance of the revised Terms.

You must be at least 18 years of age and legally capable of entering into binding contracts to use the Service. You are responsible for ensuring that your use of the Service complies with all applicable laws and regulations in your jurisdiction, including any restrictions on cryptocurrency trading or access to digital asset services.

The Service is not available in jurisdictions where cryptocurrency trading is prohibited by law. It is your responsibility to determine whether your use of the Service is legal in your jurisdiction.

ZephirexULTRA is a non-custodial trading intelligence platform that provides portfolio analytics, strategy simulation, backtesting, and optional automated execution capabilities. The Service connects to third-party cryptocurrency exchanges via read-only or trade-scoped API keys that you provide.

Zephirex does not hold, transfer, or withdraw your funds at any time. The Service is a software tool that reads data from connected exchanges and, when explicitly enabled by you, may submit trade instructions on your behalf through your own exchange API keys.

The Service is a software tool and does not constitute financial, investment, legal, or tax advice. Nothing provided by the Service — including analytics, metrics, dashboards, backtest results, or strategy outputs — should be interpreted as a recommendation to buy, sell, or hold any digital asset.

All analytics and insights are generated from your own trading data and are presented for informational purposes only. You are solely responsible for all trading decisions made using or influenced by the Service. You should consult a qualified financial advisor before making any investment decisions.

Trading in cryptocurrency and digital assets involves substantial risk of loss. Markets are highly volatile, and you may lose some or all of your invested capital. Past performance — including backtest results, simulated returns, and historical analytics — does not guarantee or predict future results.

Backtesting and paper trading simulations are based on historical data and simplified assumptions about fees, slippage, and latency. Real-world execution conditions may differ materially from simulated results. Strategies that perform well in backtests may lose money in live markets.

You acknowledge and accept these risks before using the Service for any purpose, including strategy development, backtesting, or live execution.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Two-factor authentication (TOTP) is mandatory for all accounts and privileged actions.

You are responsible for the security of your own exchange API keys. Zephirex encrypts credentials at rest using AES-256, but you accept that no system is perfectly secure. You must promptly notify us of any unauthorized access or security breach affecting your account.

You grant Zephirex permission to connect to third-party exchanges using API keys that you provide. We strongly recommend read-only keys. Keys that include withdrawal permissions are rejected at the integration layer and will not be stored.

You are responsible for configuring your API key scopes on each exchange. Zephirex is not liable for any actions taken or permitted by your API key configuration. If you enable trade-scoped keys for automated execution, you accept full responsibility for all trades executed on your behalf.

Automated execution is an opt-in feature available on select plans. When enabled, the Service may submit trade orders to your connected exchange based on strategies you configure. Execution is subject to the Risk Guard Layer, which enforces systemic guards including position caps and concentration limits that cannot be disabled.

Zephirex does not guarantee execution quality, fill prices, or that orders will be executed at all. Execution may fail due to exchange downtime, API rate limits, market conditions, or system errors. You accept all risk associated with automated execution, including the risk of unintended or erroneous orders.

The Service is provided on a best-effort basis. Analytics data is refreshed on a polling cadence (approximately 15 seconds for price data) and is not guaranteed to be real-time. We do not guarantee uninterrupted access, and the Service may experience downtime, delays, or data inaccuracies due to maintenance, third-party failures, or events beyond our control.

We target high availability but do not warrant a specific uptime percentage. Critical system status is communicated through the platform when available. We are not liable for any losses resulting from Service unavailability or delayed data.

The Service is offered in tiered subscription plans. Fees are billed in advance on a recurring basis as described on the Pricing page. Some plans include an execution fee on live trades, disclosed at the time of subscription.

You may cancel your subscription at any time; access continues until the end of the current billing period. Refund policies are described separately in our Refund Policy. We may change fees with reasonable advance notice; existing subscribers are notified before any change takes effect.

The Service, including its software, design, branding, and content, is owned by Zephirex Technologies LLC and protected by applicable intellectual property laws. Strategies you create remain your intellectual property.

The community marketplace allows sharing of strategies. When you publish a strategy, you grant other users a license to use, modify, and fork that strategy within the Service. You retain ownership of your original strategy logic.

You agree not to: (a) use the Service for any illegal purpose; (b) attempt to access funds or data belonging to other users; (c) reverse engineer, decompile, or disassemble the Service; (d) abuse, overload, or disrupt the Service or its infrastructure; (e) use the Service to manipulate markets or engage in fraudulent activity; or (f) submit API keys that you do not own or are not authorized to use.

Violations may result in immediate account suspension and termination of access, without refund.

You may terminate your account at any time. Zephirex may suspend or terminate your account if you violate these Terms, if required by law, or if your activity poses a risk to the Service or other users.

Upon termination, your data may be retained for a limited period as required for legal compliance and then deleted. You are responsible for exporting any data you wish to keep before termination.

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express or implied. We do not warrant that the Service will be error-free, secure, uninterrupted, or that analytics or backtest results are accurate or reliable.

To the fullest extent permitted by law, Zephirex disclaims all warranties of merchantability, fitness for a particular purpose, and non-infringement.

To the fullest extent permitted by law, Zephirex Technologies LLC and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or capital, arising from your use of or inability to use the Service.

Because Zephirex is non-custodial and cannot access your funds, we are not liable for any losses of cryptocurrency or fiat currency resulting from exchange failures, market conditions, your trading decisions, or third-party actions. Our total liability for any claim is limited to the fees you paid us in the three months preceding the claim.

These Terms are governed by the laws of the State of Georgia, United States, without regard to conflict-of-law principles. Any disputes arising from these Terms or the Service shall be resolved in the courts located in Atlanta, Georgia, or through binding arbitration if mutually agreed.
